CAPITAL MARKETS

●  the registration of securities (common stock, rights, and warrants) on Form S-1 for a Special Purpose Acquisition Company (SPAC)

●  Assisted with the representation of an investment bank in connection with its underwriting of a note for approximately $1.5 billion 

MERGERS AND ACQUISITIONS

● Drafted a due diligence memorandum summarizing the status of the assets of a potential acquisition, including review, analysis, and summary of all legal documentation provided by the target company

● Managed local counsel within the context of a multi-jurisdictional acquisition which consisted of providing directed research requests as well as requesting substantive responses to various matters 

● Assisted with shareholders’ agreement related review and negotiation

PROJECT FINANCE

●  Reviewed and offered comment to a series of financing documents related to an infrastructure investment

PRIVATE EQUITY

● Drafted a due diligence memorandum and commented on a SPA for a major private equity firm

● Participated in negotiating and drafting a commercial lease agreement for an investor in connection with the introduction of a major, international retailer to an emerging market
